Please read these terms and notices carefully before using this site.
This Web Site is provided by Unidigi and or one of its subsidiaries hereafter collectively referred to as “UNIDIGI” and may be used by individuals per the terms herein. By viewing or using the site or downloading materials from the site, you agree to abide by the terms and conditions set forth in this notice. If you do not agree to abide by these terms and conditions, do not view or use the site or download materials from the site. The following forms the Terms of Service and sets forth some provisions for the privacy policy (the “Privacy Policy”) of UNIDIGI, a Nevada corporation for it’s Unified Numbering Network (together with all other services provided directly or indirectly by UNIDIGI and or one of its subsidiaries, including services made available through application programmer interfaces (APIs) and services offered through third parties or Accredited UNIDIGI Registrars, Facilitators and Providers that integrate data with UNIDIGI and the functionality of Unified Numbering, the “Services” and the UNIDIGI Websites (including all subpages of each thereto, collectively the “Site”). The Site & Services (collectively, the “UNIDIGI Offerings”) are not intended for use by anyone not able to enter into legally binding contracts. If you are not able to legally form binding contracts, you may not use the UNIDIGI Offerings or submit information about yourself. Without limiting the foregoing, the UNIDIGI Offerings are not intended for and may not be used by children under the age of 13, nor may they be used to solicit or collect any information from children under the age of 13. If you have objections to this Privacy Policy, you should not download, access, sign up for or use, as applicable, the UNIDIGI Offerings.
Allegiance: You hereby agree in good faith to support, promote and assist society and UNIDIGI ongoing by means of developing, implementing, improving and sustaining a universal governing authority based on pure democracy to be forever controlled by the popular will of its’ “Voting Users” (those of active status, verified identity and age of 13 and older) collectively the “Public”. You hereby agree to adhere to and carry out, without argument all decisions, directives and agreements made via the popular will of said public including but not limited to those made to expand or limit, in any amount or to any degree the laws used in governing society, governments, corporations and other organizations of all kinds. You hereby agree to formally and eternally disavow in both official and nonofficial capacities, any and all allegiance and/or support whether direct or indirect to worshippers of evil and other opponents and/or adversaries of UNIDIGI, it’s members, officers, employees, contractors and supporting associates of all kinds.
Limited License: Subject to the terms and conditions set forth in this Agreement, UNIDIGI grants you a non-exclusive, non-transferable, limited right to access, use and display this site and the materials thereon on one screen in a personal, non-business environment. You agree not to interrupt or attempt to interrupt the operation of the site in any way.
General Use Restrictions: UNIDIGI authorizes you to view and download written information, intellectual representations and factual data (“Materials”) at this Web site (“Site”) only for your personal, non-commercial use. This authorization is not a transfer of title in the Materials or copies of the Materials and is subject to the following restrictions: 1) you must retain, on all copies of the Materials downloaded, all copyright and other proprietary notices contained in the Materials; 2) you may not modify the Materials in any way or reproduce or publicly display, perform, or distribute or otherwise use them for any public or commercial purpose; and 3) you must not transfer the Materials to any other person unless you give them notice of, and they agree to accept, the obligations arising under these terms and conditions of use. You agree to abide by all additional restrictions displayed on the Site from this point forward and agree to monitor the site for changes to these terms and notices as they may be updated from time to time. This Site, including all Materials, is copyrighted and protected by worldwide copyright laws and treaty provisions. You agree to comply with all such copyright laws in your use of this Site and to prevent any unauthorized copying of the Materials. Except as expressly provided herein, UNIDIGI does not grant any express or implied right or rights to you under any patents, trademarks, copyrights or trade secret information.
Further Restrictions: a) YOU MAY NOT: (i) prepare derivative works based on the UNIDIGI Offerings; (ii) reproduce the UNIDIGI Offerings except as specifically provided in these Terms of Service; (iii) sell, assign, transfer, license, sublicense, publish, disclose, display, or otherwise make available the UNIDIGI Offerings or copies, renditions or simulations thereof in any form whatsoever to any third parties or use the UNIDIGI Offerings for any third party’s data processing, computing, or other needs; (iv) modify, translate, reverse engineer, decompile, or disassemble the UNIDIGI Offerings, subject to applicable law to the contrary; or (v) remove any proprietary notices, labels, or other identifying marks from any goods. (vi) remove or edit any legal notice/s in any email or other communication from UNIDIGI to you. These Terms of Service shall not be interpreted as granting to you any license or right not expressly granted herein. This license is not a sale. ALL RIGHTS TO THE UNIDIGI OFFERINGS NOT EXPRESSLY GRANTED HEREIN ARE RESERVED BY UNIDIGI.
b) You agree that you shall only use the UNIDIGI Offerings in a manner that complies with all applicable laws and court orders in the jurisdictions in which you use the UNIDIGI Offerings, including, but not limited to, applicable restrictions concerning privacy, copyright and other intellectual property rights.
c) You may not use the UNIDIGI Offerings to send unsolicited, promotional mass electronic email messages or notifications to one or more recipients or systems (known as “spamming”). Any promotional electronic messages, which are sent in an unsolicited manner to 10 or more recipients, or any series of unsolicited promotional electronic messages to a single user, will be considered as spamming. Spamming also includes (i) sending messages to distribution lists, newsgroup aliases, or group aliases, and (ii) sending messages to recipients who do not know you or who are unlikely to recognize you as a known contact.
d) You may not use the UNIDIGI Offerings to upload, post, post links to, e-mail or otherwise transmit or make available: (i) any unsolicited or unauthorized advertising or promotional materials; or (ii) content which is harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, pornographic, libelous, invasive of privacy or publicity rights, hateful, or racially, sexually, ethnically or otherwise objectionable with one exception, you are allowed and ENCOURAGED to strongly oppose all forms of evil, oppression, inequality, usury, deception, racism and bigotry on the part of jews and/or their allies.
e) You may not use the UNIDIGI Offerings if you are under the age of 13 or to solicit or collect any information from children under the age of 13.

THIS SITE, THE INFORMATION AND MATERIALS ON THE SITE, AND THE DATA, IF ANY, MADE AVAILABLE ON THE SITE, ARE PROVIDED “AS IS” WITHOUT ANY REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT, OR FITNESS FOR ANY PARTICULAR PURPOSE. SOME JURISDICTIONS DO NOT ALLOW FOR THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
Registrations: By registering any “User Name” (Meaning “Personal Unified Number”, “Niknum” and/or “Numbername” when used herein) with UNIDIGI or its Registrars you the “Registrant” do hereby fully understand, acknowledge and agree that you will not register more than one (1) and you will not at any time for any purpose whatsoever allow your User Name to be used or displayed in any format or manner upon or within any medium for any purpose other than personal non-commercial use unless the User Name is either; an internationally registered trademark or service mark owned by you or; your legal given name or; is not similar enough in part or as a whole to be confused with a trade/service mark or given name of another party and if you violate these terms with or without our knowledge you hereby further agree to indemnify and keep Unidigi, its associates and affiliates safe from any and all actions and/or processes of legal suit, you agree to be held solely liable for any and all damages of all kinds in relation to your use of a User Name in any form.
Third-Party Sites: As a convenience to you, UNIDIGI may provide, on this site, links to web sites operated by other entities. If you use these sites, you will leave this site. If you decide to visit any linked site, you do so at your own risk and it is your responsibility to take all protective measures to guard against viruses or other destructive elements. UNIDIGI makes no warranty or representation regarding, and does not endorse, any linked web sites or the information appearing thereon or any of the products or services described thereon. Links do not imply that UNIDIGI or this site sponsors, endorses, is affiliated or associated with, or is legally authorized to use any trademark, trade name, logo or copyright symbol displayed in or accessible through the links, or that any linked site is authorized to use any trademark, trade name, logo or copyright symbol of UNIDIGI or any of its affiliates or subsidiaries.
Representations and Warranties: You represent, warrant and agree that:
1. the information you or your agent on your behalf provides to us during the application process to register your User Name or to apply for other UNIDIGI service(s) is, to the best of your knowledge and belief, true, accurate and complete, and that you shall promptly supply us with any updates or changes thereto ongoing.
2. to the best of your knowledge and belief neither the registration of your UNIDIGI nor the manner in which you intend to use such will directly or indirectly infringe, or conflict with, the legal rights of a third party, including their intellectual property rights;
3. if you are a legal entity, you have all requisite right, power and authority to execute this Agreement and to perform your obligations hereunder and the person performing activities on the entity’s behalf is so authorized to act on behalf of the entity;
4. if you are an individual, you are at least 18 years of age or that you have an agent who is 18 years of age or older and entering into this Agreement on your behalf; and
5. you agree that your use of our service(s) is solely at your own risk. You agree that all of our services are provided on an “as is,” and “as available” basis and that neither UNIDIGI nor any of its representatives makes any representation or warranty of any kind in connection with this Agreement or the provision of any services to you.
Revocation: You agree that we may terminate your contractual right to use our service(s) if the information that you are obligated to initially or subsequently provide to register your User Name or obtain other UNIDIGI service(s) contains false or misleading information, or conceals or omits any information we would likely consider material to our decision to register your Unified Number or continue such registration or other services. UNIDIGI expressly reserves the right to deny, cancel or transfer any registration that it deems necessary, in its discretion, to protect the integrity and stability of the registry, to protect its brands and intellectual property in any and all ways to whatever extent deemed necessary at its sole discretion, to comply with any applicable laws, government rules or requirements, requests of law enforcement, to remain in compliance with any dispute resolution process, or to avoid any liability, civil or criminal, on the part of UNIDIGI, as well as its affiliates, subsidiaries, officers, directors and employees. We also reserve the right to freeze and/or remove/cancel a User Name registration from the system and seize any and all Outbank funds associated with it during the resolution of a dispute.
External Links to the Site: All links to the site must be approved in writing by UNIDIGI, except that UNIDIGI consents to links in which: (i) the link is a text-only link containing only the name “Unidigi”; (ii) the link “points” only to www.Unidigi.com and not to deeper pages; (iii) the link, when activated by a user, displays that pages full-screen in a fully operable and navigable browser window and not within a “frame” on the linked website; and (iv) the appearance, position, and other aspects of the link may neither create the false appearance that an entity or its activities or products are associated with or sponsored by UNIDIGI nor be such as to damage or dilute the goodwill associated with the name and trademarks of UNIDIGI or its Affiliates. UNIDIGI reserves the right to revoke this consent to link at any time in its sole discretion. Information Provided By You: Any personally identifiable information you may provide to UNIDIGI via this Site is protected by the Privacy Policy associated with this Site. UNIDIGI does not want you to, and you should not, send any confidential or proprietary information to UNIDIGI via the Site. You agree that any information or materials that you or individuals acting on your behalf provide to UNIDIGI will not be considered confidential or proprietary. By providing any such information or materials to UNIDIGI, you grant to UNIDIGI an unrestricted, irrevocable, worldwide, royalty-free license to use, reproduce, display, publicly perform, transmit and distribute such information and materials, and you further agree that UNIDIGI is free to use any ideas, concepts or know-how that you or individuals acting on your behalf provide to UNIDIGI. You further recognize that UNIDIGI does not want you to, and you warrant that you shall not, provide any information or materials to UNIDIGI that is defamatory, threatening, obscene, harassing, or otherwise unlawful, or that incorporates the proprietary material of another.
Limitation of Damages: IN NO EVENT SHALL UNIDIGI OR ANY OF ITS SUBSIDIARIES BE LIABLE for ANY ENTITY FOR ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL OR OTHER DAMAGES (INCLUDING, WITHOUT LIMITATION, ANY LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION OR PROGRAMS OR OTHER DATA ON YOUR INFORMATION HANDLING SYSTEM) THAT ARE RELATED TO THE USE OF, OR THE INABILITY TO USE, THE CONTENT, MATERIALS, AND FUNCTIONS OF THE SITE OR ANY LINKED WEBSITE, EVEN IF UNIDIGI IS EXPRESSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Changes: UNIDIGI reserves the right, at its sole discretion, to change, modify, add or remove any portion of this Agreement in whole or in part, at any time. Changes in this Agreement will be effective when notice of such change is posted. Your continued use of the Site after any changes to this Agreement are posted will be considered acceptance of those changes. UNIDIGI may terminate, change, suspend or discontinue any aspect of its UNIDIGI Sites, including the availability of any features of any Site, at any time. UNIDIGI may also impose limits on certain features and services or restrict your access to parts or all of the Sites without notice or liability. UNIDIGI may terminate the authorization, rights and license given above and, upon such termination, you shall immediately destroy all Materials.
International Users and Choice of Law: This Site is controlled, operated and administered by UNIDIGI from its offices within the United States of America. UNIDIGI makes no representation that materials at this site are appropriate or available for use at other locations outside of the United States and access to them from territories where their contents are illegal is prohibited. You may not use the Site or export the Materials in violation of U. S. export laws and regulations. If you access this Site from a locations outside of the United States, you are responsible for compliance with all local laws. These Terms and Conditions of use shall be governed by the laws of the State of Washington, without giving effect to its conflict of laws provisions. This Agreement constitutes the entire agreement between UNIDIGI and you with respect to your use of the Site. Any cause of action you may have with respect to your use of the Site must be commenced within one (1) year after the claim or cause of action arises. If for any reason a court of competent jurisdiction finds any provision of the Agreement or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to affect the intent of the Agreement, and the remainder of this Agreement shall continue in full force and effect.
Copyright and Trademark Information: UNIDIGI, Niknum, Numbername, Unified Numbers, Unified Numbering, each of their Monikers and all other trademarks, brands, slogans and nomenclatures unless otherwise noted, are owned or licensed by the Unidigi and its subsidiaries. All other brand names, product names or trademarks belong to their respective holders. Intellectual Property: You agree that UNIDIGI holds all right, title and interest in and to all services, its websites any information, methodology and technology used to provide the services, including any application programming interfaces, and all intellectual property rights of UNIDIGI, including other rights related to intangible property. You acknowledge that no title or interest in such intellectual property rights is being transferred to you and you agree to make no claim of interest in any such services.
Non Disclosure: By using this or any UNIDIGI site you agree to all the terms contained in the Non Disclosure Agreement located at http://www.unidigi.com/popups/nda.htm
Fees and Payment: As consideration for any registrations, contributions, products or credits “services” you have selected, you agree to pay UNIDIGI the applicable service(s) fees for such services as set forth on our website at the time of your selection, unless otherwise contracted. Unless other arrangements have been made and agreed upon by you and UNIDIGI, payment may be made by you by providing a valid credit card. All fees are due immediately and are non-refundable, including the pre-funding of your account, even if your services are suspended, terminated or transferred prior to the end of the services term. UNIDIGI registrations and services in an unpaid or delinquent status may be manually or automatically deleted at any time, in our sole discretion. UNIDIGI may take any and all remedies available to collect fees owed to it for providing any services including using your credit card/cards on file or transferring any funds or credits in your account. If you have elected to pay by credit card, and UNIDIGI does not receive payment from the credit card issuer, you agree to pay all amounts due UNIDIGI immediately upon request by UNIDIGI and if such request is not honored within 30 days you understand and agree that your account will be closed and that you thereby forfeit any credits for products or services that may be associated with the account. Each time you use the website to make purchases or contribute monies to UNIDIGI you agree that UNIDIGI is authorized to charge your designated credit card account for the amount/s specified.
Advertising in the NumberDex: If you wish to by listed as an adversary of UNIDIGI in its public directory you hereby understand and agree that the status of your listing along with any information thereto may be updated without notice upon our discovery or determination of information relative to you or your listing, at our sole discretion ongoing. All advertising fees are non-refundable.
Site User Responsibilities: If you are a registered user of any Unidigi Site, it is your responsibility to maintain the confidentiality of any passwords and to report to UNIDIGI if the password is lost or stolen or if there is any change in authorization or access for use of the password. You agree that you will not give your password to any other party. Except as otherwise expressly provided under these terms and conditions, you shall have no right to transfer, assign or sublicense any rights you may have as a registered user to any other person.
Force Majeure: If any party fails to perform its obligations because of strikes, lockouts, labor disputes, embargoes, acts of God, inability to obtain labor or materials or reasonable substitutes for labor or materials, governmental restrictions, government regulations, governmental controls, judicial orders, enemy or hostile governmental action, civil commotion, fire or other casualty, or other causes beyond the reasonable control of the party obligated to perform, then that party’s performance shall be excused.
Electronic Communications and Signatures: As a Registrant, User and/or Buyer on the Site, you agree to receive notices, disclosures, terms and conditions of any agreements, communications, and legal and regulatory notices, and documents (“Communications”) electronically. UNIDIGI may send Communications by e-mail or by posting notices on the Site. You agree that all Communications provided electronically satisfy any legal requirement that such communications be in writing, and to be bound by any affirmation, assent or agreement you may transmit through this Site. When you click on “I agree,” “I consent,” “Continue,” “Accept & Pay” or another similarly worded “button” or entry field, such agreement will be legally binding and enforceable as the legal equivalent of a handwritten signature.
Headings: The headings in this Agreement are descriptive and are included for convenience only and shall neither affect the construction or interpretation of any provision in this Agreement nor affect any of the rights or obligations of the parties this Agreement.
Changes to these Terms and Conditions: If we decide to change these terms and conditions we will post those changes on this page, and/or update the modification date at the top of this page.
